Why legal stuff matters to your startup

The paperwork, the contracts, the term sheets, the compliance regulations. You might have incredible tech, a team worthy of a Nobel Prize and your dream customer already in the bag, but without getting all the legal stuff sorted, you’re pretty screwed.

In the accelerator world, there’s often an expectation to see there’s a legal partner, but few actually discuss what that really means. And so after launching Collider Amsterdam in 2017, it gave us the perfect opportunity to scour the Dutch market for that dream partnership, where we landed on the folks at LXA The Law Firm.

Having now worked with over 50 startups at Collider, we can see (and totally understand!) that the legal stuff isn’t the most exciting part. But, it’s arguably one of the most important, and gives meaning to sink or swim.

An awesome law firm is a company that can support our startups with a whole host of issues, from IP to GDPR, to option pools and term sheets, but by doing so becomes an incredible, trusted advisor to our angel investors. In our eyes, that’s a win-win for all parties.

New startup, new country

As part of our deal, we expect startups to move their business to Amsterdam in order to receive investment. Innovating in fresh waters in a new country and likely going into competition with huge, multinational companies takes real bravery, which is exactly why you need a serious legal office behind you.

“LXA were right there at the start of our journey into the Netherlands,” said Rado Raykov, CEO and Co-Founder of Consent.io, a Collider Amsterdam startup which helps brands to access an always-on focus group of millions, with real-time analytics and live feedback.

“Shortly after we made the transition and became a Dutch company we had the good fortune of having to very quickly switch gears thanks to our first paying customer waiting for us to send our contract proposal.”

The many needs for a legal expert

It doesn’t take a genius to know that startup life can be tough; but until you’re faced with that next challenge, it’s not always possible to see it coming.

“Having your papers in order is a must for future investment,” said Rado. “One of our co-founders is an American. Our first client is from outside the EU. We all needed employment contracts with our own company. We had to begin our GDPR compliance roadmap. Oh yeah - and then there’s the matter of Intellectual property.”

Ultimately, we know the legal stuff isn’t the most exciting part for investors or for founders, but having this organised from the start will save you a lot of money on ibroprufen in the future.

Your tech might be great, but business wants business

Many of these things are simply the harsh realities of the real business world, and chatting to any of your startup friends over a beer will likely reveal it’s common practice. But without the security of a startup-friendly, efficient and seriously knowledgeable legal firm, you’re unable to do what you really do best – and that’s sell.

“When you say ‘innovative’, businesses hear “’unproven’. When you say ‘new’, businesses hear ‘risky’. Having to surmount to all of that is a difficult task,” said Rado. 

“But if you have the right partners on board to make sure that the law is on your side, that your contracts are rock solid, that you can step on their reputation and professionalism to mitigate and minimise the risk for your team, investors and clients - then you can venture into any boardroom. 

“Yes, you might be young, but when it comes to the lawyers and the law - you are equal with the other side of the table.”

Meet The Class of 2017 Amsterdam Cohort

BIG NEWS. Collider Amsterdam has officially chosen eight startups for investment off the back of their first Startup Selection Day, and now’s your chance to meet them.

From hundreds of hopeful applications and just eight spots up for grabs, the first Amsterdam cohort Selection Day saw 13 startups from 11 different countries pitching for their place.

Hosted in one of the biggest European startup hubs, B. Amsterdam – which is also the new home of Collider Amsterdam – hundreds of applications were whittled down to the top eight, and we can’t wait to tell you about them.

A platform for real-time opinion research and analysis among consumers, customers, stakeholders and audiences.

Checks the current store stock of physical fashion stores, leads the way to the right stores, and in the meantime, collects valuable data for retailers.

4. Hyphen

AI driven operating system for customer support, that helps to improve customer service and reduce costs.

5. Paidtrends

A ‘crowd sourced advertising platform’ facilitating advertising on social media for a fraction of the regular price.

6. Recommendme

Helps companies to allocate their Ad words & FB expenses more effectively using AI, saving costs on analytics.

7. Roborzoid

A platform making the implementation and management of voice tech in products and services widely accessible.

8. SO! Sport

An exclusive mobile and social media advertising network that combines sport clubs in one network and allows members and fans to earn money for their club by viewing content.

Last week was a week of random facts, and our top MadTech news will provide just that. Here are the best things we heard all week.

1. Self-driving cars could flip the auto insurance industry on its head

We caught up with our good friends from LV who produced this little nugget of information.

It's thought there will be a huge shift of responsibility from driver to car manufacturer, as well as a general price decrease.

And that got us thinking – where will insurers now focus to grow their market, and, more importantly, how will they advertise better to build a share of sectors like health which are seen as a big opportunity?

2. The Next Web was awesome

And the incredible LivingLens got through to the final of their scaleup pitch event. Congrats!

The Trial And Tested Method: Amsterdam Part 3

Every entrepreneur knows that trialling and testing is a must, and anyone working to help startups grow should know this applies to them too.


That's why last month we put on our third Amsterdam popup – a tried and tested method of getting curious brands to collide with our incredible startups – this time with Nike, TNT/FedEx and Scotch and Soda.

We were joined by 10 startups across all of our cohorts and Booster Programme: Cablato, RTObjects, Unrival, Release, Duel, Storymail, Locomizer, Scoop RetailSeenit and CampaignAmp, and just like before, trial budget was up for grabs, as each brand chose three or more startups to explore projects with.

Hosted at The Student Hotel in Amsterdam, we saw an incredible energy from the brand teams, with a number of high level executives taking part.

Launching in Amsterdam with a bang

Collider Amsterdam scoop retail We couldn't just launch in Amsterdam without something pretty special, which is why this week some of our team headed out to the Dutch capital for our second popup.

Bringing brands and startups together is what we do best, and so this time round we were joined by a number of senior team members from both KPN and NS, hosted in Deloitte's iconic The Edge building.

Working with Ellen, Amsterdam Collider's co-founder to help establish their challenges, we identified the best startups to select for the popup and work directly with the teams.

Joined by a number of Collider startups including Pixoneye, Scoop Retail, Syncspot, Locomizer and Seenit, Collider Booster startup Duel, we also welcomed three startups from Belgium and Holland – Cabture, Social Seeder and Storymail.

Trial funds were up for grabs, so the popup meant business and gave both the startups and brands the chance to really knuckle down to see where they could work together.

But KPN and NS struggled to only pick one each, and so with Social Seeder and Storymail picked as the number-one-let's-do-this, there were many other promises of future conversations for others.

Ellen said: We designed the popup as a highly interactive session, where the corporates shared their challenges and topics of interests, allowing to identify together relevant applications of the startups’ technologies. KPN and NS have each chosen a startup for a trial project and invited several startups for follow-on conversations."
